Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the RiteModus website, dashboard, plugins, widgets and APIs (together, the “Service”). The Service is operated by RiteModus (“RiteModus”, “we”, “us”), based in Dhaka, Bangladesh.
By creating an account, installing our plugin or app, or otherwise using the Service, you agree to these Terms. If you are agreeing on behalf of a company, you confirm that you are authorised to bind that company, and “you” means that company.
Summary in plain English. RiteModus is a software subscription that adds AI agents to your online store. You keep ownership of your store data and of the content you publish. You pay monthly and can cancel at any time. You are responsible for reviewing AI-generated content before you publish it.
1. The Service
RiteModus provides software-as-a-service that connects to your ecommerce store and makes AI agents available to it — including upsell, product recommendations, dynamic pricing suggestions, checkout optimisation, product description generation, FAQ generation, a shopping chatbot, size recommendations, review highlights, sentiment analysis, and, where released, product image generation, social media post generation, 3D product viewing and virtual try-on.
Features marked “in development” on our website are not yet generally available and are not part of any plan until released. We may add, change or discontinue features. Where a change materially reduces the functionality of a paid plan, we will give you reasonable notice.
2. Accounts and eligibility
- You must be at least 18 years old and legally able to enter into a contract.
- You must provide accurate account information and keep it up to date.
- You are responsible for safeguarding your credentials and API keys, and for all activity that occurs under your account.
- You must notify us promptly at support@ritemodus.com if you suspect unauthorised access.
3. Subscriptions and billing
Paid plans are sold on a recurring monthly subscription basis in US dollars unless stated otherwise. Your subscription renews automatically at the end of each billing period until cancelled.
Merchant of record. Our order process is conducted by our online reseller and merchant of record, Paddle.com. Paddle handles all customer service enquiries relating to payment, invoicing and applicable sales tax or VAT, and issues the invoice for your subscription. Your relationship for the purchase transaction is with Paddle, while your relationship for the Service itself is with RiteModus.
Prices shown exclude taxes unless stated. Taxes are calculated and collected by Paddle based on your billing location. We may change prices; changes apply from your next billing period and we will give you at least 30 days’ notice by email.
4. Usage allowances and fair use
Each plan includes a monthly usage allowance, expressed as a number of agent requests or credits. When an allowance is exhausted, affected agents may pause or operate in a reduced mode until the next billing period or until additional usage is purchased. We will show your usage in the dashboard and warn you before you reach a limit.
You may not resell, sublicense or share access to the Service outside your own organisation unless you have a written reseller or agency arrangement with us.
5. Cancellation
You may cancel at any time from your dashboard or by emailing support@ritemodus.com. Cancellation takes effect at the end of the current paid period; your plan remains active until then. We do not charge a cancellation fee and there is no minimum term.
6. Refunds
If the Service does not work as described, contact us within 14 days of a charge at support@ritemodus.com and we will investigate and, where appropriate, issue a full or partial refund through Paddle.
- Refunds are issued to the original payment method via Paddle.
- We generally do not refund periods that have already been substantially used, or usage that has already been consumed.
- Statutory consumer rights that apply in your country are not affected by this section.
7. Your data and your content
You retain all rights in your store data (products, prices, policies, media) and in the content generated for you through the Service. Subject to payment of applicable fees, we grant you a worldwide, non-exclusive licence to use, modify and publish content generated for your store.
You grant us a limited licence to process your store data solely to operate and improve the Service for you. We do not sell your data, and we do not use your store data to train third-party foundation models. Our handling of personal data is described in our Privacy Policy.
8. AI-generated output
The Service uses machine learning models. AI-generated output can contain errors and is provided for your review. You are responsible for reviewing, editing and approving any AI-generated content, price suggestion or shopper-facing message before it is published or acted upon.
- You must not use the Service to publish claims you cannot substantiate, including health, safety, environmental or performance claims.
- You are responsible for compliance with advertising, consumer-protection, pricing and AI-disclosure laws that apply to your business and your customers.
- Similar output may be generated for other customers; output is not guaranteed to be unique.
9. Acceptable use
You agree not to:
- use the Service for anything unlawful, deceptive, infringing or harmful;
- sell prohibited or heavily regulated goods where doing so would breach applicable law or our providers’ policies;
- attempt to reverse engineer, scrape, overload, probe or circumvent the security or rate limits of the Service;
- submit personal data of third parties you are not entitled to share, or upload malware;
- use the Service to generate spam, harassment, hate speech, sexual content involving minors, or content designed to mislead consumers.
We may suspend or terminate accounts that breach this section, with notice where practicable.
10. Third-party platforms and services
The Service integrates with third-party platforms such as Shopify, WordPress/WooCommerce, hosting providers, payment providers and AI model providers. Your use of those platforms is governed by their own terms. We are not responsible for changes, outages or decisions made by third-party platforms, but we will make reasonable efforts to maintain compatibility.
11. Availability and support
We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be announced where practicable. Support is provided by email at support@ritemodus.com; response times vary by plan.
12. Intellectual property
The Service, including its software, models, prompts, interfaces, documentation and brand, remains the property of RiteModus and its licensors. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Service while your subscription is active. All rights not expressly granted are reserved.
13. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will increase your sales or produce any particular commercial result.
14. Limitation of liability
To the maximum extent permitted by law, RiteModus will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or business interruption. Our total aggregate liability arising out of or relating to the Service is limited to the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
15. Indemnity
You agree to indemnify and hold RiteModus harmless from claims, damages and reasonable costs arising from your store content, your use of AI-generated output, or your breach of these Terms or of applicable law.
16. Suspension and termination
We may suspend or terminate your access if you materially breach these Terms, if payment fails, or if required by law or a platform provider. On termination, your right to use the Service ends. You may export your configuration and generated content before termination; after account closure, data is deleted in line with our Privacy Policy.
17. Changes to these Terms
We may update these Terms. If a change is material, we will notify you by email or in the dashboard at least 30 days before it takes effect. Continued use after the effective date means you accept the updated Terms.
18. Governing law
These Terms are governed by the laws of Bangladesh, without regard to conflict-of-law rules, and the courts of Dhaka, Bangladesh have exclusive jurisdiction — except where mandatory consumer-protection law in your country of residence gives you the right to bring a claim locally.
